Terms of Service
These Terms of Service govern your use of the Aulintri platform and AI SDR by Aulintri, software services provided by Aulintri LLC. Aulintri is a software provider: it is not a customs broker, freight forwarder, NVOCC, or carrier. Read Sections 4 and 5 carefully — they explain how customs and freight data in the platform is handled and who is responsible for regulated filings — and Section 7, which governs AI SDR and any email mailbox you connect to it.
Acceptance of Terms
By accessing or using the Aulintri platform or AI SDR by Aulintri, you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to that entity and its authorized users.
If you do not agree to these Terms in full, you may not use the Services. Continued use of the Services following the effective date of an updated version of these Terms constitutes acceptance of that version.

Services Described
Aulintri LLC provides the following software services. Your subscription and Workspace configuration determine which modules are available to you.
A cloud-based logistics intelligence platform providing freight quoting, booking and shipment management, customs workflow management, AI document extraction, HTS classification tools, tariff analysis, tracking, invoicing and accounting integrations, and a client portal for your own customers. Access is provided on a subscription basis subject to the platform license terms in Section 6.
An outbound sales platform providing ideal-customer-profile research, contact enrichment, list sanitization, AI-assisted email authoring, multi-touch sequencing, and reply triage. Email is sent from a mailbox the Customer connects under their own credentials. These services are subject to the additional terms in Section 7.
Customs & Trade Data on the Platform
The platform includes tools that help customs brokers and importers prepare and manage customs work. These terms apply when you use them.
You, or the licensed customs broker you engage, are solely responsible for every filing made with CBP or any Partner Government Agency, including its accuracy, completeness, timeliness, and the authority under which it is made. Under 19 USC §1484, the importer of record is legally responsible for the accuracy of information declared to CBP.
The platform uses AI to suggest HTS classifications and to extract data from documents. These outputs are advisory only. They do not constitute legal advice or a binding classification ruling, and they must be reviewed by qualified personnel — for customs entries, a Licensed Customs Broker — before use in any filing. For binding rulings, request one from CBP.
Customs records you keep in the platform remain available to you for the retention periods described in our Privacy Policy. The platform helps you organize and retrieve records, but you remain responsible for meeting any record-keeping obligations that apply to you, including those under 19 CFR Part 163.
Freight & Carrier Data
The platform shows rates, schedules, bookings, and tracking information, some of which comes from ocean carriers, terminals, and other third parties.
Carrier and terminal data is provided as received from its source. Aulintri LLC does not guarantee its accuracy or timeliness and is not responsible for the acts or omissions of any carrier, terminal operator, or logistics provider.
Alerts for approaching free time, last free day, demurrage, and detention are provided on a commercially reasonable efforts basis. They do not shift responsibility for any detention, demurrage, or other charges, which remain between you, your clients, and the parties that assess them.
Rates and quotes you prepare in the platform are yours. The commercial terms of any freight service — including rate validity, bills of lading, liability for cargo, and tariffs — are set by the business providing that service, not by Aulintri LLC.
Platform License
Subject to your compliance with these Terms and payment of applicable subscription fees, Aulintri LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Aulintri platform for your internal business operations during your subscription term.
You may use the Aulintri platform to manage your organization's freight, customs, and logistics operations. You may grant access to your employees and authorized agents within your organization. You may not resell, sublicense, or provide platform access to third parties without a written white-label or reseller agreement with Aulintri LLC. Inviting your own clients to your Workspace as Authorized Users is permitted.
- No Reverse EngineeringYou may not reverse engineer, decompile, or attempt to extract the source code of the Aulintri platform.
- No Competitive UseYou may not use the Aulintri platform to build a competing product or service, or to benchmark our platform against competitors for commercial purposes without written consent.
- No Unauthorized AccessYou may not attempt to access data, systems, or accounts that are not assigned to your organization.
- No Automated ScrapingYou may not use automated scripts, bots, or scrapers to extract data from the Aulintri platform beyond what is available through our documented API.
Aulintri's AI-powered features — including document extraction, HTS classification, and exception detection — are provided as tools to assist your operations. AI outputs are advisory and must be reviewed by qualified personnel before use in regulatory filings. Aulintri LLC does not warrant that AI-generated HTS classifications, duty calculations, or document extractions are error-free or constitute legal advice.
AI SDR & Connected Email Accounts
This section applies if you use AI SDR by Aulintri (ai-sdr.aulintri.com) and connect an email mailbox to it. It is in addition to the platform license in Section 6.
AI SDR sends outbound email from a mailbox you connect — typically a Gmail or Google Workspace account — using an OAuth authorization you grant through your mail provider's own consent screen. We never ask for or accept your mail password. You may disconnect a mailbox at any time from Settings → Integrations, or revoke our access directly with your provider. You represent that you are authorized to connect each mailbox you add and, where the mailbox belongs to your employer, that you have your organization's permission to do so.
Email sent through AI SDR goes out under your identity, from your mailbox, to recipients you select. You are the sender for all legal purposes. You are solely responsible for the content of that mail and for its compliance with applicable law, including:
- United StatesThe CAN-SPAM Act — accurate header and "from" information, a non-deceptive subject line, a functioning opt-out mechanism honored within ten business days, and a valid physical postal address.
- CanadaCASL, including its consent, identification, and unsubscribe requirements.
- EEA & United KingdomGDPR, UK GDPR, and the ePrivacy rules as they apply to your lawful basis for contacting a given recipient.
- EverywhereYour mail provider's own terms and policies, including the Google Workspace Acceptable Use Policy, Gmail's program policies, and Google's bulk sender guidelines where you send through Gmail.
You may not use AI SDR to send unsolicited bulk email outside what the law allows, to conceal or falsify your identity or origin, to send to addresses harvested in violation of law or of a third party's terms, or to send content that is deceptive, defamatory, or unlawful.
AI SDR drafts email copy, classifies replies, and can suggest responses. Those outputs are drafts. Unless you explicitly enable autonomous sending for your organization, a human on your team reviews and approves before anything goes out. Where you do enable autonomous sending, you accept responsibility for the messages sent under it to the same extent as if you had written them yourself. Aulintri LLC does not warrant that AI-generated copy is accurate, non-infringing, or suitable for a given recipient or jurisdiction.
We enforce per-mailbox rate limits, warm-up curves, and bounce and complaint thresholds to protect your sending reputation and ours. We may throttle, pause, or disconnect a mailbox without notice where bounce rates, spam complaints, or provider signals indicate a deliverability or abuse problem. We do not guarantee inbox placement, delivery, open rates, or reply rates. Inbox placement is determined by receiving mail systems outside our control.
Where you connect a Google mailbox, your use of that integration is additionally subject to Google's own terms and to the Google API Services User Data Policy. Data we receive from Google APIs is handled as described in Section 5 of our Privacy Policy, which includes our Limited Use commitments. Aulintri LLC is not affiliated with, endorsed by, or sponsored by Google LLC. Google may change, limit, suspend, or discontinue API access at its discretion, and Aulintri LLC is not liable for any interruption of the integration that results.
We may suspend or terminate your access to AI SDR, in addition to the rights in Section 15, where we reasonably believe you have used it to send unlawful or deceptive mail, where a mail provider or blocklist operator notifies us of abuse originating from your account, or where continued sending would put other customers' deliverability or our provider relationships at risk.
Accounts & Access
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at info@aulintri.com if you suspect unauthorized access to your account.
Each user account must correspond to an individual human user. Shared credentials are not permitted. Organization administrators are responsible for promptly deactivating accounts for departed employees or contractors.
Aulintri LLC reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or fail to maintain current payment.
Fees & Payment
Aulintri uses a three-tier pricing model: a platform access base fee, per-transaction fees, and outcome-share fees on recovered duties and refunds. Specific rates are set forth in your subscription agreement or service order.
- Platform Base FeeBilled monthly. The platform base fee covers unlimited user access, core platform features, and standard support. Cancelable at any time with 30 days written notice.
- Per-Transaction FeesInvoiced monthly in arrears based on actual transaction volume. Includes customs entries prepared, documents extracted, and carrier bookings processed in the platform. Volume discounts apply at thresholds specified in your service agreement. Founding cohort partners receive locked-in per-transaction rates for the life of their account.
- Outcome-Share FeesApplied to successfully recovered IEEPA tariff refunds, duty drawback claims, and D&D dispute resolutions. Invoiced upon confirmed recovery. You owe nothing if no recovery is made.
- Duty DisbursementsDuty payments collected on your behalf and remitted to CBP are disbursements, not Aulintri fees. They are invoiced separately and must be funded in advance of the CBP payment date.
All invoices are due within 30 days of issuance. Overdue balances accrue interest at 1.5% per month. Aulintri LLC reserves the right to suspend access to the Services for accounts with overdue balances exceeding 60 days.
All fees are non-refundable except as required by law or as expressly stated in your service agreement. Disputed invoices must be raised in writing within 30 days of the invoice date.
Data Ownership & Intellectual Property
You retain ownership of all Customer Data you submit to the Aulintri platform. By submitting Customer Data, you grant Aulintri LLC a limited license to process, store, and transmit that data solely for the purpose of providing the Services. We do not claim ownership of your shipment records, entry data, or business information.
The Aulintri platform — including its code, design, AI models, workflows, and documentation — is the proprietary intellectual property of Aulintri LLC. These Terms grant you a license to use the platform, not to own any part of it. All rights not expressly granted are reserved.
Aulintri LLC may use aggregated, de-identified data derived from platform usage — including duty calculation trends, classification patterns, and exception rates — to improve the platform and publish industry benchmarks. This aggregated data does not identify you or your organization and is not Customer Data.
If you provide feedback, suggestions, or ideas about the Aulintri platform, you grant Aulintri LLC an irrevocable, royalty-free license to use that feedback without obligation to you. We value your input and take it seriously — founding cohort partners receive a direct product feedback channel as part of their engagement.
Prohibited Use
You may not use the Aulintri platform or any of the Services for the following purposes:
- Sanctions ViolationsImporting, exporting, or facilitating trade involving entities on the OFAC Specially Designated Nationals list, BIS Entity List, or other applicable sanctions lists.

Limitation of Liability
Disclaimer of Warranties. The Aulintri platform and all Services are provided "as is" and "as available." Aulintri LLC makes no warranty, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or that AI-generated outputs will be accurate or complete.
Limitation of Damages. To the maximum extent permitted by applicable law, Aulintri LLC's total liability to you for any claim arising out of or related to these Terms or the Services — whether in contract, tort, or otherwise — shall not exceed the greater of: (a) the total fees paid by you to Aulintri LLC in the twelve (12) months immediately preceding the claim, or (b) one thousand dollars ($1,000).
Exclusion of Consequential Damages. In no event shall Aulintri LLC be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, loss of data, CBP penalties, carrier-assessed charges, or customs duty liabilities arising from platform errors or service failures — even if Aulintri LLC has been advised of the possibility of such damages.

Disputes & Arbitration
Governing Law. These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions.
Mandatory Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services — including disputes about the validity, enforceability, or scope of this arbitration clause — shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Collin County, Texas. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver. You agree to bring claims against Aulintri LLC only in your individual capacity and not as a plaintiff or class member in any purported class action or representative proceeding.
Exceptions. Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction in Collin County or Dallas County, Texas, to prevent irreparable harm pending arbitration.
Opt-Out. If you do not wish to be bound by mandatory arbitration, you may opt out by sending written notice to info@aulintri.com within 30 days of your first acceptance of these Terms. Opting out does not affect any other provision of these Terms.
Termination
By You. You may cancel your Aulintri platform subscription at any time by providing 30 days written notice to info@aulintri.com. Cancellation does not entitle you to a refund of prepaid fees. You may request an export of your Customer Data for 30 days after closure, as described in our Privacy Policy.
By Aulintri LLC. We may suspend or terminate your account immediately for: material breach of these Terms; fraudulent activity; violation of Section 11 (Prohibited Use); failure to pay invoices within 60 days of due date; or any action that creates legal or regulatory risk for Aulintri LLC.
Effect of Termination. Upon termination, your license to access the Aulintri platform ceases immediately. We will make your Customer Data available for export for 30 days following termination. After 30 days, data will be deleted or de-identified subject to applicable retention requirements. Customs entry records are retained for the mandatory five-year period regardless of account status.

Amendments. Aulintri LLC reserves the right to modify these Terms at any time. Material changes will be communicated via email to account administrators at least 14 days before the effective date. Continued use of the Services constitutes acceptance of the updated Terms.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
Waiver. Failure by Aulintri LLC to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment. You may not assign your rights or obligations under these Terms without Aulintri LLC's prior written consent. Aulintri LLC may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force Majeure. Aulintri LLC is not liable for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, government actions, CBP system outages, ocean carrier failures, or telecommunications failures — provided that we notify you promptly and use commercially reasonable efforts to resume performance.
No Agency. Nothing in these Terms creates a partnership, joint venture, or employment relationship between you and Aulintri LLC, and Aulintri LLC is not your agent before CBP or any other government agency.
